LocalCreators.io Terms of Service

1. What LocalCreators.io is

LocalCreators.io is a multi-tenant software platform where organizations commission creative content and creators pitch, produce, and deliver that work. Organizations run their own isolated workspaces; creators maintain a single account they can use with multiple organizations. LocalCreators.io provides the software. It is not a party to the working relationship between an organization and a creator.

2. Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate registration information and keep it current.
• You are responsible for your credentials and for all activity under your account. Notify us promptly at hello@localcreators.io if you suspect unauthorized access.
• One person may hold one creator account. Organizations manage their own members, roles, and permissions and are responsible for the actions of their members.

3. Organization subscriptions and billing

• Organizations subscribe to a paid plan to operate a workspace. Available plans, pricing, limits, and any trial terms are presented at purchase and managed through the billing portal.
• Payments are processed by Stripe. By subscribing you also agree to Stripe's applicable terms.
• Subscriptions renew automatically each billing period until cancelled. You can cancel at any time through the billing portal; cancellation takes effect at the end of the current period.
• Except where required by law, fees are non-refundable, including for partial periods or unused capacity.
• We may change plan pricing or features with at least 30 days' notice; changes apply from your next billing period.
• Plan limits and entitlements are enforced by the service. If a subscription lapses or payment fails, we may suspend or limit the workspace after reasonable notice until payment is resolved.

4. Creator accounts

Creator accounts are free. Creators may build a profile and portfolio, discover open gigs, submit pitches and proposals, message organizations they work with, and deliver work through the service. What a creator shares with one organization is not visible to other organizations, as described in the Privacy Policy.

5. The marketplace relationship

• LocalCreators.io is a venue. Each engagement, including scope, compensation, deadlines, revisions, and intellectual property terms, is an agreement between the organization and the creator, not with LocalCreators.io.
• LocalCreators.io does not process, hold, or guarantee payments between organizations and creators. Budget and payment-status fields in the service are record-keeping tools only. Paying creators, and any related taxes, invoices, contracts, insurance, and legal compliance, are entirely the responsibility of the organization and the creator.
• Creators are independent parties. Nothing in the service creates an employment, agency, or partnership relationship between any user and LocalCreators.io, or, absent their own agreement, between an organization and a creator.
• We do not vet, endorse, or guarantee any organization, creator, gig, pitch, or delivered work. Use your own judgment before entering an engagement.

6. Your content

• You retain ownership of the content you submit: profiles, portfolios, gigs, pitches, proposals, messages, and deliverables.
• You grant LocalCreators.io a worldwide, non-exclusive, royalty-free license to host, store, scan, process, reproduce, and display your content solely as needed to operate, secure, and improve the service. This license ends when the content is deleted from the service, except for copies in backups and audit records kept on our standard schedules.
• Rights in delivered work as between an organization and a creator are governed by their own agreement. LocalCreators.io claims no ownership of delivered work.
• You are responsible for your content. You represent that you have the rights to post it and that it does not infringe anyone's intellectual property, privacy, or other rights.

7. Acceptable use

You agree not to:

• Break the law, infringe intellectual property, or violate others' privacy.
• Attempt to access another organization's workspace or another user's account, or probe, scan, or test the vulnerability of the service without written authorization.
• Upload malware or harmful code. Uploads are scanned, and infected files are blocked or removed.
• Harass, threaten, or defraud other users, post deceptive profiles or portfolio work you did not create, or misrepresent your identity or qualifications.
• Scrape the service, resell access, or use the service to build a competing product.
• Circumvent plan limits, fees, or security or audit controls.

We may remove content or suspend accounts that violate these Terms.

8. Privacy and data

Our Privacy Policy explains what we collect and how we handle it, including the division of responsibility between LocalCreators.io and organizations for workspace data. For workspace data, the organization is the controller and LocalCreators.io processes it on the organization's instructions as described there.

9. Availability and changes to the service

We work to keep LocalCreators.io available and secure, and we maintain backup and restore procedures, but the service is provided without uptime guarantees at this time. We may add, change, or retire features. If we discontinue the service entirely, we will give organizations reasonable notice and an opportunity to export their data.

10. Suspension and termination

• You may close your account at any time. Organizations may cancel their subscription as described in Section 3.
• We may suspend or terminate access immediately for material breach of these Terms, security risk, unlawful activity, or non-payment, and otherwise on reasonable notice.
• On termination, your right to use the service ends. Sections that by their nature should survive, including Sections 5 through 8 and 11 through 13, survive termination.

11. Disclaimers

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any organization, creator, or work product will meet your expectations.

12. Limitation of liability and indemnity

To the fullest extent permitted by law, LocalCreators.io will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for all claims arising out of the service in any 12-month period will not exceed the amounts the relevant organization paid us in that period, or 100 US dollars for users on free accounts. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify LocalCreators.io against claims arising from your content, your use of the service, your engagements with other users, or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, excluding its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Michigan, and you consent to their jurisdiction.

14. Copyright complaints

If you believe content on LocalCreators.io infringes your copyright, send a notice with the details required by the DMCA to hello@localcreators.io. We respond to valid notices, and we may terminate repeat infringers.

15. Changes to these Terms

We may update these Terms. For material changes we will give notice through the service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the service and, for organizations, cancel your subscription.

16. General

These Terms, the Privacy Policy, and any plan-specific terms are the entire agreement between you and LocalCreators.io regarding the service. If a provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
